Terms and conditions
§ 1. Application:
§ 1.1 These sales and delivery conditions apply to the extent that they are not deviated from by written agreement.
          The buyer's terms of purchase do not apply, unless Scan Parts Aps has accepted these in writing.


§ 2. Offer and price:
§ 2.1 Unless otherwise agreed, Scan Parts Aps' price list valid at all times applies.
§ 2.2 All prices are exclusive of value added tax or other public taxes.
§ 2.3 Offers are valid for 30 days, unless otherwise stated, but are otherwise given without binding and subject to
intermediate sales.

§ 3. Delivery:
§ 3.1 Delivery always takes place ex warehouse Viby Sjælland.

§ 4. Delay:
§ 4.1 Scan Parts Aps is not responsible for delay.
§ 4.2 Scan Parts Aps is under no circumstances responsible for consequential economic losses,
including loss of operation, loss of time or loss suffered by a third party.

§ 5. Payment:
§ 5.1 Payment must be made in accordance with the conditions stated on the offer/invoice.
§ 5.2 If the buyer does not make the payment by the due date, Scan Parts Aps is entitled, from the due date,
to calculate default interest on the amount due at any time.

§ 6. Retention of title:
§ 6.1 The goods remain the property of Scan Parts Aps until payment of all amounts relating to delivery has been made
in full.

§ 7. Freedom from liability:

Scan Parts Aps
cannot thus be held liable § 7.2 If the purchased item is to be incorporated by the buyer in his or a third party's products, and it turns out that the
purchased item does not function satisfactorily in these products, the buyer himself bears the responsibility for this.

§ 8. Return:
§ 8.1 Return of goods can only take place by agreement up to 30 days from the date of the invoice and by
sending free of charge in unbroken original packaging and in complete and undamaged condition to Scan Parts Aps' address and with
an indication of the invoice number, return item number and information about, who at Scan Parts Aps it has been agreed.
A processing fee of 20% is calculated.
§ 8.2 Specially procured goods and specially manufactured goods cannot be returned.

§ 9. Liability for defects:
§ 9.1 The buyer must check and examine the delivery immediately after receipt.
Any defects must be reported to Scan Parts Aps immediately and no later than 8 days after delivery.
Defects cannot be asserted against Scan Parts Aps later than 8 days after Scan Parts Aps has delivered the goods.
Where it concerns wrongly dispatched goods, complaints must be made within 14 days from the invoice date.
§ 9.2 If the delivery is defective, Scan Parts Aps undertakes, at its own discretion, either to exchange the
defective delivery by delivering a new equivalent delivery, or to credit the purchase for the defective
delivery, or to rectify the defect.
§ 9.3 In the case of repair and exchange, the buyer must return the defective delivery.
Returns and resending are at the buyer's expense and risk.
§ 9.4 In addition to what is stated above, the buyer cannot raise claims of any kind against Scan Parts Aps.
§ 9.5 If, after receiving a complaint, Scan Parts Aps can establish that there is no defect for
which Scan Parts Aps has a duty to remedy, Scan Parts Aps reserves the right for any expenses and any
loss incurred or suffered by Scan Parts Aps as a result of the complaint.
§ 9.6 Scan Parts Aps is not liable for defects caused by incorrect handling, transport, storage or other
negligence by anyone other than Scan Parts Aps.
Scan Parts Aps' responsibility only covers defects that appear during normal and appropriate
storage and use of the product.
§ 9.7 Scan Parts Aps disclaims any responsibility for other consequential economic losses as a result of any
defects, including operating losses, loss of time and lost earnings.

§ 10. Product liability:
§ 10.1 Apart from cases where damage and liability are covered by non-derogable provisions in the current law on
product liability, the following provisions apply to Scan Parts Aps' liability for damage caused by the
supplied product or service.
§ 10.2 Scan Parts Aps is not responsible for damage to products manufactured by the buyer, or to products
in which these are included.
§ 10.3 Scan Parts Aps is not responsible for consequential financial loss, including operating loss, loss of time and
lost earnings.
§ 10.4 To the extent that Scan Parts Aps may be charged with product liability towards a third party, the buyer is
obliged to indemnify Scan Parts Aps to the same extent that Scan Parts Aps' liability is
limited according to the three previous points.
§ 10.5 If a third party makes a claim against one of the parties for liability in terms of this point, this
party must immediately notify the other party.
§ 10.6 The buyer is obliged to allow himself to be sued by the court or arbitral tribunal which deals with compensation claims
raised against Scan Parts Aps on the basis of damage allegedly caused by the
product or service provided by Scan Parts Aps.

§ 11. Force majeure:
§ 11.1 Should the possibility of fulfilling or receiving delivery be made significantly more difficult for one of the partners,
as a result of a labor conflict, other circumstances beyond the partners' control, such as war,
measures by the authorities, extensive operational disruptions, non-attendance or energy shortages,
the party in question is party entitled to cancel a concluded agreement.
§ 11.2 The party that wishes to invoke a right in accordance with the above must immediately notify the other
party in writing.

§ 12. Disclaimer :
§ 12.1 The above-mentioned points contain provisions according to which Scan Parts Aps disclaims any liability.
The buyer should take out insurance himself to the extent that the buyer wishes to protect himself against such losses,
or the buyer must include the risk of loss in his margin.

§ 13. Choice of law and venue
§ 13.1 Disputes in connection with agreements or offers and everything related thereto
must be settled according to Danish law.
§ 13.2 Apart from what follows from section
10.6 above, any dispute must be settled at the Maritime & Commercial Court in Copenhagen with an appeal to the Supreme Court, however, Scan Parts Aps may choose to issue a summons or take
legal action at the buyer's place of residence or at any place which according to applicable law is a legal venue.
